This is the Atlanta outpost of an international firm. Although this firm is international, it still has a decidedly regional feel to it, and it international only to service certain valued clients. Life is reasonably good in the Atlanta office, where there are attorneys capable of handling every measure of legal problem faced by companies or corporations. Although the litigators are able to become more specialized, corporate associates have a general practice, which ocassional spreads them (and their expertise) a bit thin. Lagging behind in compensation, this firm is dedicated to associate life issues, and has, as a result, a good deal of devoted associates.
Commercial Real Estate/Corporate Paralegal The candidate will be drafting closing checklists, purchase and sale agreement, critical date memoranda, and other closing documents. Title and survey reviewing. Coordinating with various parties such as local government agencies, architects, surveyors, title companies, clients, lenders, and other financing parties. Simultaneously managing multiple deals, including tracking deadlines, and communicating progress and issues to attorneys and third parties. Drafting corporate by-laws, operating agreements, and partnership agreements and corporate minutes and resolutions. Providing corporate maintenance such as formations, dissolutions, and annual reports. Assisting with due diligence review, including contract and UCC review. Filing documents with the Secretary of State. Overseeing preparing closing binders. Should have 3-5 years of experience as a real estate and/or corporate paralegal. Mid-size to large law firm experience a plus.
