Corporate Legal Secretary The candidate will create and modify complex legal documents using MS Word. Will create and modify complex MS Excel spreadsheets. Provide cooperative, responsive and courteous service to co-workers, attorneys and external clients. Arrange, schedule, maintain and update attorney calendars. Maintain and update attorney contacts. Answer telephones and utilize judgment to proactively screen and direct telephone calls and client inquiries to appropriate parties. Assist in communicating with and responding appropriately to client requests. Assist with the opening of new client/matter files and preparing first draft engagement letters. Insert revisions into and format legal documents. Draft and type general correspondence. Process outgoing mail, to include preparing Fedex labels, scheduling messengers or other vendors for document pick-up. Review, sort and distribute incoming mail, as requested. Provide meeting support, to include scheduling conference rooms, arranging travel and coordinating any necessary equipment, supplies and refreshments. Greet and assist clients and other visitors to the office. Assist with client mailings, and perform mail merge for periodic group mailings and other initiatives. Assist with time entry and preparation of expense reports, each as requested. Support our firm s team concept by readily assisting with overflow work. Provide general administrative and secretarial support as requested by attorneys. Must be extremely skilled in MS Word and Excel, as well as Outlook. Should be able to manipulate very complex documents to create a high-quality professional product. Must be able to create complex linked spreadsheets, and to use macros for repetitive operations. Experience Corporate Paralegal The candidate will support multiple Corporate Partners and the overall practice on a variety of deals. Drafts and files certificate of incorporation and certificate of formation, typically in Delaware but also other jurisdictions. Draft written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters. Draft resolutions to be presented at a board meeting and/or stockholder meeting. Prepare basic organization documents, including initial stock subscription agreement, stock certificates and stock ledger, typically for Delaware but also other jurisdictions. Complete and file Form SS-4s to obtain EINs. Compile and maintain minute books and stock ledgers. Conduct research to assist attorneys in determining jurisdictions for qualification. Prepare and file qualification and withdrawal applications. Order lien searches and summarizes lien search results. Prepare and file statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions. Calculate Delaware franchise tax (both methods); also calculate franchise tax for other jurisdictions. Obtain information from, and provide information to, clients. Formulate solutions to problems which may arise, such as good standing issues. Interface with corporate service providers regarding statutory registered agent services (including changing contact information). Provide direct support to clients (using discretion to handle matters directly or involving an attorney). Draft written consents approving closing agreements. Draft certificates including secretary and officer certificates. Prepare closing files. Handle distribution of signature pages. Order certified copies and good standing certificates. Identify and resolve problems that arise. Prepare and file UCC statements, amendments and termination statements. Review collateral description on lien summary. Prepare initial draft of closing checklist. Assist with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support. Prepare closing book index and assemble closing book, and assist in distribution. Handle distribution of original securities (e.g. stock certificates, unit certificates and notes). The candidate Should preferably have a Bachelor's degree. Must possess 7+ years of corporate paralegal experience. Should possess experience in one or more areas including M&A, private equity, debt finance, asset-backed securitization, fund formation, investment management and/or venture capital. Corporate/Fiduciary Paralegal The candidate will directly support Fiduciary Counsel, all partner trustees, and trust client services team by assisting with fiduciary and corporate matters relating to the administration of trusts and other fiduciary accounts. Will work closely with Fiduciary Counsel who will delegate assignments and supervise work. Will also support members of the trust client services team on complex matters relating to the administration of in-house trusts. Will report to the Legal Administration Supervisor. Review and complete subscription agreements for investment funds to be held in trusts. Draft loan documents incidental to borrowing of trust assets. Assist with coordination of tax information of complex investments held in trust. Assist partner trustees and trust client services team with tracking information relating to trusts, with matters relating to the administration of complex assets, and on relationships where PCG is providing family office services. Draft documents necessary to re-title complex assets, such as private equity interests and hedge funds, into the names of trusts. Research and prepare oral and written analysis of issues related to trusts of which partners serve as trustees. Assist with formation, administration and annual reporting of entities. Assist Fiduciary Counsel on other assignments related to the administration of trusts of which partners serve as trustees. Comply with department and firm administrative procedures and policies. Responsible for billing a minimum of 1500 hours of trust-related work. Qualifications: Law degree or advanced degree and 5 years professional experience as a corporate paralegal or attorney. Expertise with Word, Excel, and PowerPoint, and ability to develop other technological know-how. Demonstrates strong drafting skills, proofreading, and attention to detail. Able to maintain strict confidentiality of the firm s internal and personnel affairs and client information. Understands the ethics of the position including ethical rules in regards to confidentiality, billing and client representation and advocacy. Collaborates effectively and professionally with clients and all levels of personnel, including attorneys, coworkers and administrators. Owns professional development by seeking out feedback and learning new skills. Possesses excellent oral and written communication skills to effectively communicate to attorneys, staff and clients.
