Corporate Paralegal The candidate will be responsible to support multiple Corporate Partners and the overall practice on a variety of deals. essential job functions include: Corporate M&A Transactional - Drafts and files certificate of incorporation and certificate of formation, typically in Delaware but also other jurisdictions. Drafts written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters. Drafts resolutions to be presented at a board meeting and/or stockholder meeting. Prepares basic organization documents, including initial stock subscription agreement, stock certificates and stock ledger, typically for Delaware but also other jurisdictions. Completes and files Form SS-4s to obtain EINs. Compiles and maintains minute books and stock ledgers. Conducts research to assist attorneys in determining jurisdictions for qualification. Prepares and files qualification and withdrawal applications. Orders lien searches and summarizes lien search results. Prepares and files statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions. Calculates Delaware franchise tax (both methods); also calculates franchise tax for other jurisdictions. Obtains information from, and provides information to, clients. Formulate solutions to problems which may arise, such as good standing issues. Interface with corporate service providers regarding statutory registered agent services (including changing contact information). Provide direct support to clients (using discretion to handle matters directly or involving an attorney). Closing and Post-Closing General - Drafts written consents approving closing agreements. Draft certificates including secretary and officer certificates. Prepare closing files. Handle distribution of signature pages. Orders certified copies and good standing certificates. Identifies and resolves problems that arise. Prepares and files UCC statements, amendments and termination statements. Review collateral description on lien summary. Prepare initial draft of closing checklist. Assist with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support. Prepares closing book index and assembles closing book, and assists in distribution. Handle distribution of original securities (e.g. stock certificates, unit certificates and notes). The candidate must have experience in one or more areas including M&A, private equity, debt finance, asset-backed securitization, fund formation, investment management and/or venture capital. 5+ years of corporate paralegal experience with a Bachelor's degree is preferred. Must have additional qualifications: excellent analytical and organizational abilities, solid communication skills, strong computer abilities, creativity and initiative. Corporate Paralegal The candidate will assist attorneys to prepare integral corporate documents/materials. Will work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist lawyers with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings and corporate transactions. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Other tasks and projects as needed. The candidate must have Four (4) year college degree in any discipline. Must have 5+ years experience as a Corporate Paralegal; 10+ or greater years experience preferred. Degree or certificate in Paralegal Studies is a plus. Must have strong research and investigative skills. Must be proficient with the Microsoft Office Suite (Outlook, Word, Excel, etc.).mm strong computer and software skills (LexisNexis, Westlaw, etc.). Must have excellent organizational skills with strong attention to detail and the ability to prioritize and coordinate work. Must have excellent verbal and written communication skills.
