Junior Paralegal - Corporate Assist with all closing matters: attend to post closing materials such as distribution of documents and original signature pages, prepare and organize documents, prepare and organize materials for shipment, create index and labels, assemble documents into tabs and create binders, create stock certificates and legends, deliver and pick up documents to and from various clients and law firms. In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS, order corporate documents, e.g. charters, bylaws, good standings. Keep track of all relevant documents and signature pages for the Attorneys and/or Paralegals. Draft simple documents such as stock certificates, powers of attorney, resignations and standard certificates and resolutions. Prepare and complete UCC search requests and compile information into UCC logs. General corporate housekeeping, e.g. maintenance of corporate minute books, franchise tax filings, annual meetings, preparation of board and stockholder minutes. Proofread, duplicate and scan documents to PDF, format and save to document management system. Conduct research on Westlaw, Live Edgar, and other databases. Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc. Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time. Qualifications: Candidate is a college graduate with a strong interest in the legal profession and corporate law with the ability to commit to the position for 2+ years. Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. Must be able to work independently as well as with a team, have an acute attention to detail and the ability to multi-task and prioritize while working in a high pressure, deadline-driven environment. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat, and a Document Management System; knowledge of Carpe Diem and Westlaw, Relativity, Compulaw, and Sharepoint is a plus. Manages Shareholder email account including assistance with culling email and filing in the firm Records Management system (VP Records). Manages current materials for business development purposes and works in conjunction with the Marketing Department on preparation of business development and marketing events and projects. Prepares papers and correspondence of a legal and non-legal nature. Transcribes dictation. Must have strong knowledge of corporate transactional and closing processes.
