Corporate Paralegal Private Equity Fund Formation Duties: Assist with fund formation. Maintain internal database of investor information. Analyze and review subscription agreements and side letters. Review and draft agreements and consents related to limited partnerships, limited liability companies and corporations. Assist with entity formation, including corporate name availability and reservation, assist with drafting of corporate organizational documents, assist with corporate records maintenance, and prepare foreign qualifications, dissolutions and withdrawals. Assist with multiple transactional closings including mergers and acquisitions, joint ventures, financings and strategic investments. Draft ancillary documents under attorney supervision (e.g., officers certificates, bylaws, corporate resolutions, stock certificates, collateral receipt letters, etc.). Proofread and revise principle transaction documents (e.g., Private Placement Memorandum, Operating Agreement, Limited Partnership Agreement, etc.). Disseminate documentation to clients and to outside parties; work efficiently with firm support services, such as, Reprographics, Document Production and outside couriers. Create closing checklist and working group list; draft signature pages and assist with preparation of agreements, schedules and exhibits. Proof documents and track the status of document preparation. Incorporate client and outside counsel comments in documents. Prepare closing files, labels, and folders and assist with the closing. Compile executed documents and save onto internal document management system (DeskSite). Organize and distribute originally executed agreements to client and outside counsel. Compile and index documents for preparation of closing binder. Assemble and distribute closing binders in a timely fashion. Corporate Paralegal Duties: Drafts and files certificate of formation, certificate of incorporation, amendments, conversions, mergers, and dissolutions, typically for Delaware but also other jurisdictions. Prepares and files qualification and withdrawal applications. Drafts written board consents and written stockholder consents, including both organizational and transactional closing matters. Drafts resolutions to be presented at a board meeting and/or stockholder meeting. Prepares basic organization documents, including initial stock subscription agreement, stock certificates and stock ledger. Completes and files Form SS-4s to obtain EINs. Compiles and maintains minute books and stock ledgers. Conducts research to assist attorneys in determining jurisdictions for qualification. Orders lien searches and summarizes lien search results. Calculates Delaware franchise tax (both methods); also calculates franchise tax for other jurisdictions. Obtains information from, and provides information to, clients. Formulates solutions to problems which may arise, such as good standing issues. Provides direct support to clients (using discretion to handle matters directly or involving an attorney).. Drafts written consents approving closing agreements. Drafts certificates including secretary and officer certificates. Prepares closing files. Handles distribution of signature pages. Orders certified copies and good standing certificates. Identifies and resolves problems that arise. Prepares and files UCC statements, amendments and termination statements. Reviews collateral description on lien summary. The candidate will possess experience in one or more areas including M&A, private equity, fund formation, investment management and/or venture capital. Maintains and updates contacts in Client Profiles and links contacts with appropriate files. Arranges travel. Completes business expense forms. Requests checks. Assists with practice group meetings and assignments such as maintaining forms files, typing agendas, coordinating meetings, ordering lunches, preparing for seminars, etc. Stays abreast of technology changes and other advances in the legal secretarial field.
