This large international New York law firm founded in 1934 has established a full-service presence. Clients include large corporations and individuals as well as small and medium-sized businesses. The firm represents a wide range of industrial, financial and commercial enterprises, both publicly and privately held. Firm lawyers represent clients in every state as well as numerous foreign jurisdictions. The firm is organized by legal specialization: corporate, e-commerce, employee benefits, estate planning, government and regulatory affairs, health law, intellectual property, international, litigation and tax. This firm offers competitive salaries and many firm lawyers also practice interdepartmentally distinguishing them from many other large law firms.
Corporate Real Estate Paralegal The candidate will complete and maintain organizational documentation necessary to form business entities for corporations, limited liability companies and partnerships (including articles of incorporation, bylaws, meeting minutes, etc.). Will assist with corporate documents and qualification of corporations to do business in foreign jurisdictions. Establish a tracker system for all corporate matters such as signature requests and client follow-ups. Assist with major projects, such as acquisitions, financings and sales. Interact with registered agents and service companies. Facilitate corporate filings with registered agent, Secretary of State and other state and governmental agencies. Correspond/coordinate with local counsel regarding legal opinions and entity formations. Prepare SS-4 applications and obtain U.S. Employer Identification Numbers. Process dissolutions of U.S. and Non-U.S. entities (in conjunction with local counsel). Manage client compliance process for collecting Know Your Customer diligence and related items. Communicate daily with institutional clients and their operating partners. Draft operating agreements, consents and inter-company loan agreements. Manage domestic and international minute books and share certificates. Assist with legalization, authentication and apostille process for documents at the State Department and embassies. Supervise client support specialist. Work closely with Information Governance staff to facilitate organization and indexing of client materials. Prompt submission of expense reports and receipts for travel and daily expenses. Prompt verification of vendor invoices. Meets or exceeds minimum billable hour expectation of 1600 hours per year/133 hours per month. Daily, accurate entry of time into Firm's time entry system (UltiPro). Prompt submission of weekly timesheets (InTapp). Comply with all Firm policies applicable to non-exempt staff. Other duties as assigned. The candidate should have Bachelor's Degree, Paralegal Certificate or equivalent work experience. Must have 3-5 years corporate transactional experience. Must have strong organizational, communication and interpersonal skills. Proficiency with Firm-standard software (Microsoft Office, Outlook, Adobe Pro, eRooms and other software introduced from time to time) is required. Must be able to work under pressure and handle stress. New York Notary is required.
