Maintain updated closing checklist with document/signature page status and updated folders of closing documents. Draft documents such as resolutions and operating agreements. Prepare signature packets to be executed by transaction parties, track incoming documents and signature pages and provide updates following up with other parties for missing documents/signatures and missing items for post-closing. Form/Incorporate entities with a corporate service company. Qualify entities to do business in other states as required. Update corporate records and corporate minute books as necessary. Obtain tax ID numbers, order Good Standing Certificates. Compile copies of fully executed documents for circulation at closing. Create sets of closing documents to distribute to clients and attorneys. Effectively communicate both verbally and in writing with others, including agencies, service providers, counsel and clients. Expected to record 1,800 billable hours/year. Requirements: Bachelor's Degree; 3.5 GPA or higher preferred. 2-3 years of experience in a similar role helpful, but not required. Excellent attention to detail and communication skills. Observe confidentiality of client and firm matters. Ability to organize and prioritize numerous tasks and complete them under time constraints. Strong technical skills; ability to quickly learn new software and processes. Knowledge of Microsoft Office Suite and Adobe. Ability to speak English fluently. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Must have flexibility to work overtime, evenings and weekends if demand requires. Assist with drafting complaints and related pleadings, including discovery, in connection with various adversary matters. Conduct Uniform Commercial (UCC) searches and real property searches to confirm status of liens on property and/or equipment. Examine and, if necessary, obtain public records relevant to facts of lawsuit. Qualifications: A bachelor degree is required and a paralegal certificate from an ABA approved program is preferable. May need to have, or be eligible to obtain, licensure as a Notary Public in the appropriate jurisdiction. Proven organization, strong verbal and written communication skills. Paralegal Commercial Litigation The candidate will assist litigation lawyers with all phases of litigation case support including document/information management (including ESI), factual analysis, discovery, and trial support. Perform computer database input and retrieval. The candidate should have 4 year degree and a minimum of five(5) years' paralegal experience. Paralegal Certificate preferred. Experience with e-discovery and automated litigation support software Relativity, Concordance, Trial Director, CaseMap, TimeMap, PACER and LiveNote required. Proven skills in managing and coordinating workload for litigation support team. Strong computer skills. Demonstrated knowledge of civil litigation and the ability to take initiative and to exercise discretion and independent judgment. Strong knowledge of Westlaw; public records requests; FOIA requests; FileSite; Microsoft applications; Adobe Acrobat Pro; local, state, and federal court rules; and citation style according to The Bluebook.
