Drafts support statements and organizes documentations for filling. Files and monitors applications and petitions with appropriate government agencies. Performs research to obtain information such as background on a company or industry, current wages, processing procedures, stand processing times, etc. Initiates contact with government officials to obtain necessary information to alert supervising attorney of potential delays or possible problems in the processing of an application. Junior Paralegal - Corporate Assist with all closing matters: attend to post closing materials such as distribution of documents and original signature pages, prepare and organize documents, prepare and organize materials for shipment, create index and labels, assemble documents into tabs and create binders, create stock certificates and legends, deliver and pick up documents to and from various clients and law firms. In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS, order corporate documents, e.g. charters, bylaws, good standings. Keep track of all relevant documents and signature pages for the Attorneys and/or Paralegals. Draft simple documents such as stock certificates, powers of attorney, resignations and standard certificates and resolutions. Prepare and complete UCC search requests and compile information into UCC logs. General corporate housekeeping, e.g. maintenance of corporate minute books, franchise tax filings, annual meetings, preparation of board and stockholder minutes. Proofread, duplicate and scan documents to PDF, format and save to document management system. Conduct research on Westlaw, Live Edgar, and other databases. Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc. Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time. Qualifications: Candidate is a college graduate with a strong interest in the legal profession and corporate law with the ability to commit to the position for 2+ years. Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. Must be able to work independently as well as with a team, have an acute attention to detail and the ability to multi-task and prioritize while working in a high pressure, deadline-driven environment. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat, and a Document Management System; knowledge of Carpe Diem and Westlaw, Relativity, Compulaw, and Sharepoint is a plus. Senior Litigation Paralegal Duties: With minimal supervision, apply knowledge of litigation and document management as well as experience as a paralegal to provide outstanding paralegal support to attorneys managing complex litigation matters. Support attorneys in all aspects of litigation practice. Assist with the collection, review and organization of discovery materials. Coordinate with Automated Legal Support Department to create, maintain and update document databases. Prepare documents for production and create document productions logs, privilege logs and redaction logs. Assist attorneys with the preparation and filing of pleadings and other court documents. Assist in conducting and organizing factual research relating to experts, witnesses, arbitrators, corporations and other entities. Prepare witness prep binders, deposition exhibits, case chronologies and other materials. Organize and maintain deposition transcripts and exhibits; prepare errata sheets. Organize and maintain case files, pleadings, expert materials, attorney notebooks and other documents in hard copy and electronic binders. Cite-check legal documents to conform citations and authorities to the Blue Book standard, Sherardize authorities, verify the accuracy of quoted material and cited exhibits. Summarize articles, reports, witness statements, deposition transcripts and other materials. Assist legal teams at depositions, witness interviews, presentations, conferences, hearings, oral arguments and trials. Assist in scheduling of court reporters, videographers and room reservations for depositions. Anticipate attorneys needs; advise and mentor junior paralegals on complex matters and assignments. Conform to the state rules of Professional Responsibility. Work on special departmental projects and handle other duties as assigned. Qualifications: Bachelor's Degree. 5+ years of experience as a Litigation Paralegal in law firm, including extensive trial experience. Must possess high level of proficiency with litigation databases, including Relativity and deposition transcript management databases. Must possess high level of proficiency with Microsoft Office Suite. Familiarity with document management systems, file transfer platforms, mobile devices and basic information governance. Ability to organize and prioritize numerous tasks and complete them under time constraints. Ability to work well both independently and as part of team. Ability to concentrate and pay close attention to detail for extended periods of time. Must have interpersonal and communication skills necessary to effectively liaise between attorneys, clients and various support departments.
