Corporate, Finance & Investments Paralegal Duties: Under general supervision and according to established policies and procedures, performs a variety of duties to assist attorneys to whom they are assigned in the office. Organize and maintain documents in document management system and workspaces. Keep accurate time records. Work independently and as a member of the team. Maintain updated closing checklist with document/signature page status and updated folders of closing documents. Draft documents such as resolutions and operating agreements. Prepare signature packets to be executed by transaction parties, track incoming documents and signature pages and provide updates following up with other parties for missing documents/signatures and missing items for post-closing. Form/Incorporate entities with a corporate service company. Qualify entities to do business in other states as required. Update corporate records and corporate minute books as necessary. Obtain tax ID numbers, order Good Standing Certificates. Compile copies of fully executed documents for circulation at closing. Create sets of closing documents to distribute to clients and attorneys. Effectively communicate both verbally and in writing with others, including agencies, service providers, counsel and clients. Expected to record 1,800 billable hours/year. Requirements: Bachelor's Degree; 3.5 GPA or higher preferred. 2-3 years of experience in a similar role helpful, but not required. Excellent attention to detail and communication skills. Observe confidentiality of client and firm matters. Ability to organize and prioritize numerous tasks and complete them under time constraints. Strong technical skills; ability to quickly learn new software and processes. Knowledge of Microsoft Office Suite and Adobe. Ability to speak English fluently. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Must have flexibility to work overtime, evenings and weekends if demand requires. Must be willing to make a two-year commitment. Must be able to work independently and efficiently in an environment that is heavily computer based, perform under strict time constraints, follow established client and team guidelines for case and matter management, maintain positive contact with clients and observe confidentiality of client matters.
