Paralegal (Corporate Transactional/Real Estate) Duties: Assist attorneys from inception to closing of deals, including post-closing matters. Review and prepare legal documents including real estate and corporate documents, entity formation and qualification documents, instruments and contracts, and closing documents. Review of title, judgment, lien and litigation reports to ensure compliance with client and legal requirements. Responsible for preparing and assisting with condominium and cooperative filings and documents relating to closings, including deeds and assignments Responsible, in conjunction with attorneys, for the timely preparation, review, and execution of a high volume and diverse range of complex agreements and related schedules/exhibits and documents of transfer. Identify, summarize and document material terms and key dates of executed agreements. Administer transactional agreements, including but not limited to license agreements, lease agreements, real estate purchase agreements, service agreements, etc. Manage and tailor template agreements for use in specific transactions. Attend closings and coordinate execution of documents. Heavy client contact via telephone, WebEx, video conferences, email and in-person which includes facilitating communication between the lawyers for buyer and seller. Organize and maintain attorney and deal files. Professionally interact with firm attorneys, client legal departments, client principals and attorneys for adverse parties. Qualifications: Bachelor s degree and strong academic record desired. 3-5 years relevant experience in transactional real estate and corporate law. Law firm or In-House / Corporate/Real Estate paralegal experience required. Proven ability to handle multiple projects, prioritize among concurrent projects and within projects and meet deadlines in a fast paced environment. Strong organizational, problem solving, and analytical skills. Strong computer skills including advanced skills in MS Word and Excel and working knowledge of windows applications, including email and document management systems. General office experience, including photocopying, scanning, and related technology and software. Strong communication skills needed to communicate with all levels of personnel, clients, and outside parties. Excellent judgment with the ability to make timely and sound decisions. Creative, flexible, enthusiastic and innovative team player working with multiple attorneys. Versatile, flexible, and willing to work within constantly changing priorities with enthusiasm. Familiar with contract documents and terms, with an ability to identify and summarize material terms in appropriately organized and logical memoranda and data files. Meticulous attention to detail and quality of work product. Able to uphold standards of complete discretion and confidentiality. Professional, personable, approachable and courteous demeanor. Extensive experience reviewing titles, preparing loan documents, form leases, amendments, licenses, commencement date agreements, and drafting deal summaries and approval memos. Experience doing diligence, including ability to review Asset Purchase Agreements, stock purchase agreements, subleases, Bills of Sale, and various transfer documents.
