Public Finance/Real Estate Paralegal Duties: Prepare first drafts of basic documents, including resolutions, trust indentures, loan and real estate documents, offering and bond purchase documents, credit enhancement documents and liquidity facilities, and closing documents and opinions; revise the same at the direction of department attorneys. Coordinate distribution of documents to clients and other interested parties. Prepare and review due diligence checklists and monitor status of delivery of due diligence. Prepare closing certificates, opinions, UCC financing statements, document exhibits and closing memoranda and assist with document assembly. Coordinate required filings with federal, state and local regulators and administrative offices, including, without limitation, IRS filings and secured transaction filings. Facilitate and coordinate closings, including monitoring and confirming the execution and completeness of all financing and closing documents. Prepare closing transcripts. Monitor critical transaction dates and maintain master practice group transaction status and closing schedule. Develop and maintain databases of related offerings. Handle routine correspondence and client inquiries. Excellent and proven analytical and organizational skills. Ability to pay close attention to detail and follow up. Ability to be flexible, multi-task and prioritize work flow. Proven ability to think independently and meet critical deadlines. Ability to work and collaborate effectively and professionally with colleagues, clients and other transaction participants. Ability to coordinate with multiple parties in connection with transaction closings. Ability to communicate both verbally and in writing in a clear and concise manner. Ability to assume ownership of assigned tasks. Ability and aptitude to work with numbers and calculations. Demonstrated proficiency in computer skills, including knowledge of MS Office and other transaction facilitation software.
Qualifications: Bachelor degree or paralegal certificate from an ABA approved institution preferred. Must have 5-8 years of previous experience in a public finance and/or real estate law practice. Notary public license.
