Corporate Paralegal - Capital Markets - Part-time The candidate will be assisting in the firm's capital market and public company practice. Will be supporting initial public offerings, compliance and corporate governance, and capital market transactions. Responsibilities include performing basic public company governance tasks, such as Section 16 reporting and Rule 144 and 701 legend removal letters; assisting with D&O Questionnaires, annual and quarterly reports, and proxy statements; assisting in preparing registration statement, including beneficial ownership table and back-half information of registration statement; handling transfer agent onboarding and being the key contact for transfer agent; preparing EDGAR Code and stock exchange applications, FINRA filings, CUSIP application, stockholder documents, and board and shareholder actions; compiling and distributing closing documents and closing volume; assisting with due diligence process; helping with securities and state filings, and assisting with communications to clients and holders. The candidate must have a Bachelor's Degree or Paralegal Certificate. Must have prior experience as a corporate paralegal. Strong working knowledge of corporate tasks of public companies is required. Must be familiar with initial public offerings and special purpose acquisition companies. Experience with securities and corporate laws, especially the 33 Act and 34 Act is required. Experience in capitalization management platforms such as Shareworks and Carta is also required. Must be proficient with Excel spreadsheets. Detail-oriented and organized, with excellent analytical skills are needed. Should have excellent communication and prioritization skills to manage projects simultaneously under deadline pressure.
