Paralegal, Corporate Law The candidate must possess advanced skills to assist in corporate law matters relating to: Entity formation, mergers and acquisitions, and contracts; Corporate transactions, such as the preparation and filing of corporate formation and dissolution documents, entity foreign qualifications relating to corporations, limited liability companies, and partnerships, including name reservations and fictitious name permit applications, maintenance of corporate records/minute books, issuance and redemption of stock, maintenance of stock ledgers, and related corporate governance of entities such as annual meetings and filings; M&A due diligence including, but not limited to, organizing e-rooms and/or document management, preparation of and management of pre- and post-closing documents, creation and maintenance of signature pages and closing checklists, preparation of closing binders, preparation, formatting and redlining large corporate documents such as purchase and sale agreements, ancillary documents, and the like; Administrative and secretarial duties such as time entry, billing, engagement letters, transmittal correspondence, calendaring of appointments, and other duties as assigned. Must possess excellent skills at proofreading, spelling and grammar, and be able to prepare and format professional correspondence, memos and legal documents. Should preferably have 3+ years of corporate experience. Bachelor s Degree or a Paralegal Certificate preferred. Must have advanced Software Skills in Microsoft Outlook, Word, Excel, and PowerPoint, Acrobat. Research abilities in Westlaw, Lexis and online research skills are required. Software proficiency preferred: iManage DMS, MacPac, MS Track Changes, outline numbering and formatting, Expert Time, Workshare or familiar with comparison software such as Comparite, transcription software.
