Corporate Paralegal The candidate will manage due diligence and closing matters, preparing signature packets, and creating closing volume. Prepare drafts of routine documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements. Handle corporate, UCC, and securities filings. Maintain corporate records and filings. Handle stock and option administration, including drafting agreements, preparing reports, stock notices/certificates, and maintaining capitalization records in equity management platform. Assist with drafts of agreements and correspondence connected to mergers, acquisitions, debt financings, and public offerings. Conduct corporate legal research. Input time entry daily. Must have 3+ years of experience in corporate practice. Must have worked previously in a law firm environment. Be proficient with Word, Excel, and PowerPoint and experienced with Transaction Management Software (HiQ, DealProof, Practical Law, Literal Transact, etc.). Working knowledge of corporate and securities transactions is required. Be detail-oriented, organized, able to work in a team environment, but a self-starter. Must have excellent communication and prioritization skills to manage tasks. Presence in office required with remote working as needed possible after first 6 months. Flexibility for overtime is a must (with the flexibility to work some overtime from home) is essential. Experience with aircraft financing transactions is desired.
