Commercial Real Estate Transaction Attorney Duties: Review the lender s credit approval requirements and prepare loan documents for the transaction. Determine necessary due diligence searches and review results. Review and negotiate lender s title insurance policies for real estate collateral. Determine and arrange proper perfection of lender s security interest in personal property collateral in accordance with the requirements of the Uniform Commercial Code. Negotiate loan documents with Borrower s counsel and other third parties involved in the collateral. Prepare and negotiate Subordination Non Disturbance and Attornment Agreements with respect to tenants for commercial real estate collateral. Prepare and/or review and negotiate zoning and land use opinions related to real estate collateral. Prepare and negotiate participation and syndication agreements with other lenders. Prepare and/or review and negotiate intercreditor agreements with subordinate and mezzanine lenders. Review organizational and other authority documents related to transaction. Exhibit the following personal qualities: high-energy with an ability to work on multiple tasks simultaneously; enthusiasm and responsiveness, with a commitment to a team-based working environment; meticulous attention to details and strong organizational skills; willingness to take on new tasks (over time) of increasing scope and scale relating to the Firm s commercial/corporate lending and real estate areas; and excellent interpersonal and written/verbal communication skills. Qualifications: Admission to the Massachusetts State Bar (or pending admission). Experience (at a law firm, or in-house at a financial institution) in commercial lending and/or commercial real estate finance transactions. Experience and/or a desire to work in affordable housing preferred. Existing client contacts and potential originations a plus . Willingness to participate in client development efforts and desire to become a business originator.
