Corporate Paralegal Tier III The canidate will be under general supervision and according to established policies and procedures provides legal/general support to the firm's attorneys and their clients. Must have an Undergraduate degree and paralegal certificate required; comparable relevant experience in lieu of a paralegal certificate will be considered. Paralegal with 7-10 years of transactional and finance legal experience needed. Experience in drafting closing, conveyancing and loan documents. Experience with formation of corporations, limited liability companies and limited partnerships, including preparation of formation documents, bylaws, organizational minutes and obtaining EIN s; Experience in Corporate Due Diligence; Experience with the preparation and filing of corporate filings and UCC financing statements; Experience in the preparation of documents in connection with transactional closings such as secretary and officer certificates, closing agenda, obtaining good standing certificates and certified charter documents; Experience with qualifications, mergers, conversions, dissolutions, withdrawals, and preparation of documents required for each, including review of relevant statutes to determine requirements in each jurisdiction; Experience with obtaining lien and judgement searches, helping to determine proper location for searches and summarizing search results as needed; Experience with blue sky research, obtaining SEC access codes; preparation of From D and documents required for state securities filings; Experience in analyzing due diligence documents for acquisition and real estate finance transactions; Experience in organizing and assisting with closings including review of settlement statements; and Experience in dealing with multi-state loan/acquisition transactions; Excellent verbal and written communication skills as well as the ability to work with individuals at all organizational levels. Must be familiar with and observe the firm's established policies and guidelines. Familiarity with Mergers and Acquisitions, public securities ( 33 and 34 Acts), venture capital and/or private equity placements, a plus. Ability to do initial drafts of basic corporate documents and various agreements and prepare closing checklists.
