Corporate Paralegal The candidate will: Gain legal experience by working directly with attorneys in our premier Corporate practice group. Develop and apply basic knowledge and procedures to complete assigned projects and tasks; develop proficiency in technology relevant to the position. Follow established procedures and clearly-defined instructions to complete assignments; develop skills in identifying resources to increase efficiency and ensure highest quality work product. Develop and apply organizational skills to prepare work product and ensure efficient workflow within and among teams and departments. Identify issues and consult with others to resolve problems. Identify resources to increase efficiency in preparing work product. Comply with administrative requirements to meet billable expectations; prepare and release timenotes on a daily basis; prepare and submit timecards on a weekly basis. Assist in all phases of corporate transactions from inception to closing. Assist with entity formation, including drafting subscription, shareholder, employment, and confidentiality agreements, checking and reserving corporate names, and preparing drafts of corporate organizational documents. Draft and file documents related to business incorporation and ongoing operations. Assist with closings of venture capital financings, public offerings, acquisitions and mergers, and other transactions. Assist with due diligence and data rooms. Organize and maintain deal documents, minute books, corporate records, and stock ledgers. May prepare and file UCC financing statements, Blue Sky and SEC registrations, and public company SEC filings. May assist with stock option plan administration, including drafting BOD/shareholder plans, resolutions, agreements, and other state and federal filings. Bachelor s Degree is required.
