Paralegal - Corporate Duties: Working side by side with lawyers, co-counsel and clients on an array of substantive client matters. Work independently and on teams, locally, nationally and globally. Will be responsible assisting the International Corporate Reorganization leaders with the preparation of legal step plans based on precedents in any given jurisdiction regarding the formation of holding companies, the contribution of shares in exchange for shares, the sale and purchase of shares, the distribution of shares as dividends, the settlement of debt instruments within group companies, the liquidation of entities worldwide, IP migrations, opening of US branches, conversion of entities, merger of entities in a certain jurisdiction, approval of the annual financial statements of the entities belonging to US multinational corporations, changes of directors and officers in entities anywhere in the world, etc. Will update these Legal Step Plans on a regular basis based on the information provided by the attorneys worldwide. Will be responsible for tracking the progress made and changes needed during the course of a project. Will prepare the budget tracker for the projects based on the information provided by the attorneys involved and follow up on open items with the U.S. team and with other jurisdictions involved in Latin America, Europe, Asia and Africa. Will assist with signature pages, collect and organize signed documents, insert dates, assist with the distribution of original documents, upload signed documents to specific data rooms and prepare closing binders. Requirements: Bachelor's degree and/or Paralegal Certificate. 4 years of Corporate Paralegal experience in a law firm or professional services environment. Proficient in Microsoft Word, Excel and Outlook. Proficient in the use of data rooms. Ability to anticipate the needs of attorneys. Ability to exercise sound independent judgment. Excellent organizational skills required along with the ability to handle multiple projects and assignments at once. Ability to work effectively in a fast paced environment. Strong attention to detail and ability to handle large volumes of work. Interest on corporate international reorganization projects to be implemented in jurisdictions located in Europe, Asia, Latin America and Africa. Preferred Requirements: Experience supporting a Corporate practice group. Large firm experience.
