Corporate Paralegal Assistant Duties: Responsible for providing support to attorneys and paralegals in Corporate, Finance & Acquisitions group with a broad range of corporate matters, including entity formation and maintenance of corporations and LLCs. Working under the direction of the Corporate attorneys and paralegals, will responsible for: Creation and maintenance of corporate and LLC minute books. Formation and qualification of corporations, limited liability companies and limited partnerships. Preparation of Application to obtain employer ID numbers from the IRS. Preparation of organization documents, including consents and stock certificates. Preparation and filing of state annual reports. Preparation of annual consents electing directors and officers. Reconciliation of service company invoices. Assist with preparation of questionnaire letters for annual actions. Filing, photocopying, pending files, etc., as required. Perform other duties/projects as assigned. Qualifications: A high school diploma and 3+ years of related experience in an administrative support role or equivalent. Paralegal Certificate preferred. Associates Degree or Bachelor's Degree a plus. Paralegal Assistant or legal secretarial support experience strongly preferred. Familiarity with corporate service vendors and government agencies to obtain certified documents. Familiarity with federal, state and local rules/filing procedures strongly preferred. As the Corporate Paralegal Assistant, this position requires a client-focused approach, strong work ethic and the ability to handle multiple priorities efficiently and effectively.. Proficiency in Microsoft Word and Excel; ADP WorkforceNow experience a plus. Excellent oral and written communication skills. Able to exercise discretion, initiative and exhibit a high level of confidentiality. Excellent interpersonal skills. Strong organization and prioritization skills. Solid database management and recordkeeping skills. Detail oriented, with the ability to manage multiple priorities and meet deadlines. Must be a team player. Works well with minimal supervision.
