Corporate Paralegal The candidate will provide a full range of paralegal support to attorneys in the corporate and business practices, working primarily on private company mergers and acquisition, equity financings, and general corporate matters in support of our business clients. Will proactively communicate with clients to ensure client needs are met and possesses the ability to identify client issues and respond in a timely manner. Corporate Maintenance and Support. Prepare formation and foreign qualification documents and amendments for corporations and limited liability companies; prepare and manage filings for licensing and other permits. Draft corporate documents, including to corporate and LLC formation documents, shareholder and board meeting minutes and consents, stock certificates, and form agreements, as appropriate. Manage corporate minute books, capitalization tables and stock ledgers on behalf clients; proficient at using incorporation and cap table management software and applications; maintains firm best practices for keeping corporate records current and easily accessible. Assist clients with administration of equity incentive plans; prepares equity grants using form agreements, as appropriate; researches and prepares required federal and state securities filings. Manage multiple financings/deals running concurrently while also keeping corporate records current. Corporate Transactions (including mergers, acquisitions, private placement equity investments, joint ventures and other significant corporate transactions). Assist attorneys in preparing due diligence request lists and responding to due diligence requests in corporate transactions; proficient in setting up and using different technology platforms (i.e. virtual data rooms) and other methods for responding to such requests; maintains best practices for organizing, tracking and communicating due diligence responses. Conduct (or assists in) basic corporate and commercial due diligence in support of corporate transactions. Prepare and maintains closing checklists for corporate transactions. Draft and revises (or assists in drafting and revising) disclosure schedules for corporate transactions. Act as primary interface with filing services for any corporate filings required to complete a corporate transaction; keeps all parties aware of filing deadlines. Assist in closing of corporate transactions, including drafting ancillary documents, preparing signature pages, updating investor schedules, tracking receipt of signatures, and compiling fully executed copies of documents and agreements. Prepare stock certificates, Form D s and other securities filings required in connection with the corporate transaction. Prepare closing volumes; updates stock ledgers and capitalization tables as needed. The candidate must have a strong background in providing corporate and transacitonal paralegal support, preferably with at least 3 years in a law firm environment, is required. Must have Bachelor's degree and completion of paralegal program of study, or clear demonstration of equivalent knowledge and skill. Should have advanced proficiency in the use of Microsoft Office applications (Word, Excel, and Outlook) for the creation and editing of documents. Must have proficiency in the use of electronic signature applications (e.g. -DocuSign) and document retention databases (e.g. - Google Docs, Dropbox and other proprietary virtual data rooms). Should have ability to quickly adapt to new technologies and methods of client communication as needed. Must have ability to understand and follow work directions, make discretionary decisions, manage multiple priorities and respond to urgent requests with minimal supervision. Must have an excellent proactive communication and interpersonal skills, including the ability to maintain effective working relationships and communicate verbally and in writing, with clients, firm members, and other business contacts. Should have exceptional client service skills, as well as the ability to handle stressful situations in a calm, composed manner. Must have ability to pay close attention to detail and be highly organized and accurate. Should have strong time and task management skills. Must have ability to work effectively in a team-oriented, service environment.
