Corporate Paralegal The candidate will be join team of highly efficient and effective attorneys and staff. Prepare documents to form and maintain corporations and LLCs in Washington and Delaware. Assist client and attorneys with all corporate filings. Create and maintain corporate minute books and attend to ongoing corporate needs. Assist attorneys in the preparation of documentation for corporate transactions. Oversee shareholder mailings and tracking of votes. Maintain and update on a regular basis accurate stock ledger, note ledger and capitalization tables. Respond to due diligence requests. Prepare, track and follow up on closing checklists; gather closing documents; and prepare closing notebook. Prepare/conduct UCC Filings/Searches. Working knowledge of the corporate formation process. Ability to interact professionally and effectively with clients, attorneys, staff and all levels of firm personnel. Ability to anticipate problems and focus on appropriate solutions while incorporating differing viewpoints. Must be flexible and able to work under tight deadlines. Excellent verbal, written, organizational and interpersonal skills. Strong time management and calendaring skills. Demonstrate ongoing attention to detail, responsiveness and accountability. Corporate Paralegal The candidate will be preparing draft documentation for filings with the Secretary of State, Department of Corporations, and other state or federal government agencies, including Articles of Incorporation, notices of sales of securities, and qualifications to do business. Performing basic private company stock plan administration mechanics, including drafting stock purchase or stock option agreements, preparing regular Rule 701 compliance reports and maintenance of stock plan records in firm database. Preparing and maintaining detailed stock ledgers, including stock ledgers for venture financed companies with multiple series of preferred stock. Conducting blue sky and other corporate legal research. Preparing and managing corporate and securities filings. Possessing a basic understanding of and assisting with shareholder, director, investor and other client mailings with the guidance of attorney and/or senior paralegal. Preparing closing volumes, including index, document assembly, binding and final distribution. Performing routine document preparation, including incorporation documents, board and shareholder actions, non-disclosure agreements, indemnification agreements and stock certificates. The candidate must have 2-4 years of corporate paralegal experience. Working knowledge of general corporate work, including incorporations, document drafting, preparation of filings, and creation and maintenance of client records is needed. Proficiency in the organization of client records and maintaining corporate files including basic minute book and client file organization is necessary. Part Time Paralegal - Corporate/Transactions The candidate will be working with lawyers to prepare and file documents required to form, maintain, and/or dissolve companies, such as corporations and limited liability companies. Collecting and organizing client and corporate information, tracking filing and renewal deadlines, and corresponding with third parties. Assisting lawyers prepare documentation for a variety of corporate transactions, from mergers and acquisitions to debt and equity financings. This may include preparing or drafting due diligence request lists, document data rooms, form agreements, and closing binders. Assisting lawyers prepare corporate governance documents, such as board minutes, board and/or shareholder resolutions, and equity grants. Creating and maintaining corporate records, such as minute books, cap tables, stock certificates, and stock option ledgers. Conducting legal research and analysis from time-to-time as needed, under the supervision and direction of lawyers. Developing systems and processes to streamline contract or transaction origination and completion. The candidate should preferably have 2-3 years of experience, a paralegal certificate and/or Bachelors degree, or a combination of experience and education. Excellent writing skills and computer skills including Microsoft Word and Excel, Adobe and DocuSign; experience with the USPTO system and industry software and applications is a plus.
