Corporate Paralegal Duties: The candidate prepares drafts of routine documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements. Handle corporate and securities filings. Handle stock and option administration, including drafting agreements, preparing reports, stock notices/certificates, and maintaining capitalization records in equity management platform. Conduct blue sky and corporate legal research. Assist with drafts of agreements and correspondence connected to venture capital financings, debt financings, mergers, acquisitions, and public offerings. Manage due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volume. Assist with year-end matters. Maintain corporate records and files and input time entry daily.
Qualifications: The candidate should have a Bachelor's degree or a paralegal certificate. Must have 5+ years of experience in corporate practice. Must have worked previously in a law firm environment. Experience with equity management platforms is needed. Must be proficient with Excel spreadsheets. Working knowledge of corporate and securities laws is required. Must be detail-oriented, organized, and able to work in a team environment. Have excellent communication and prioritization skills to manage tasks.
