Corporate Paralegal The candidate prepare corporate documents/materials. Work with lawyers and clients to prepare all documents required to form and organize corporations (both business and not-for-profit corporations), partnerships and limited liability companies (LLCs) in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or LLCs. Create and maintain corporate minute books. Maintain corporations, partnerships and LLCs for clients, including preparing and filing annual shareholder and board resolutions, payment of government and corporate service provider fees. Prepare draft responses to auditors' requests for information. Keep track of clients and their associated corporations, partnerships, LLCs, trusts and other entities. Formation of foreign companies and trusts. Work with lawyers and clients on formation of foreign companies and trusts, including liaison with providers of corporate and trust services and coordinating provision of know customer/due diligence information. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions. Assisting clients with notarization and legalization of documents, including coordinating consular visits and obtaining apostilles under the Hague Convention for the Legalization of Foreign Public Documents for use in the United States and abroad. Preparation of closing binders. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Assist foreign clients with completion and filing of Form W-7 to obtain individual taxpayer identification numbers (ITINs). Preparation of other IRS documents such as Form 2848 (Power of Attorney), 8832 (Entity Classification Election) and others. The candidate should have 3-5 years of experience as a corporate paralegal. Must have experience with formation, organization and maintenance of business entities and corporate governance. Bachelor's degree, Associates degree or ABA-approved paralegal certificate is required. Must have superior verbal and written communication; excellent organizational skills. Ability to work well with clients and to respond effectively and quickly to their needs and issues. Experience with any of the following would be helpful: Handling California real estate transactions; Handling international corporate matters; Preparation of applications for tax-exempt status; Documenting transfers of assets to trusts; Dealing with foreign clients and/or fluency in one or more foreign languages (especially but not limited to French, Spanish or Chinese).
