This mid size New York office's practice is transactional in nature and focused on banking and real estate finance, development, and leasing. Attorneys represent domestic banks, investment banks, and U.S. branches of major European, Scandinavian and Japanese banking organizations. All beginning associates participate in a formal legal education program designed to acquaint them with the fundamentals of the firm's practice. Attorneys enjoy competitive salaries and benefits and are encouraged to participate in pro bono work.
Mid-level Corporate Paralegal The candidate will assist partners and/or associates in all corporate transactions (including mergers and acquisitions, asset purchase agreements and credit agreements). Will draft and file formation documents, maintain minutes books and related data tracking, prepare minutes, prepare foreign qualifications and track and perform other company maintenance functions. Prepare corporate certificates and provide appropriate documentation, make required filings, assist with closings, etc. Close document binders, archives of material agreements, letters sent to audit firms, D&O questionnaires for public companies, binder of publicly filed documents, etc. Assist in preparation of UCC financing statements. Assist client with annual reports and tax filings as requested by client. Assist in qualifying and withdrawing entities to do business in foreign jurisdictions. Prepare Section 16 and stock exchange filings, assist in preparation of annual, quarterly and current reports, etc. Procure and assemble closing documents, assist with closings, order and organize good standing requests and maintain closing and post-closing files. Should preferably have 4+ years of experience. Strong technical skills, including word processing, Internet and databases are required. Should be ready for occasional overtime as needed.
