Corporate Legal Secretary The candidate responsibilities will include managing busy calendars, coordinating meetings and travel arrangements; interfacing with clients, new business intake; and providing administrative support, including answering phones, entering attorney time, managing expense reimbursements. revising and formatting legal documents, document comparison, transcription and proofreading, answering phones, entering attorney time, and managing expense reimbursements, and any other secretarial duties as assigned. Document Preparation using word processing and document management software (Microsoft Office 2016, including PowerPoint and Excel, and NetDocs Document Management System, etc.) to prepare and revise, format and finalize a wide variety of documents, including correspondence, memoranda, and legal materials. Assist with all closing matters: attend to closing materials such as distribution of documents, preparation and organization of documents and preparation of signature packets, preparation and organization of materials for shipment, preparation of indexes and labels, stock certificates and legends, deliver and pick up documents to and from various clients and law firms. In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS; prepare stock certificates and update ledgers. Keep track of all relevant documents and signature pages for the Attorneys and/or Paralegals; compile consents and secretary certificates. Prepare and complete UCC search requests and compile information into lien summaries; prepare UCC termination statements. General Corporate Housekeeping, e.g. maintenance of corporate minute books, franchise tax filings, data base updates for subscription booklets. Proofread, duplicate and scan documents to PDF and save to DMS. Conduct research on the internet. Must have a Bachelor s degree and have 3-5 years of experience as a corporate secretary in a law office environment. Must also possess a strong interest in the legal profession and corporate law. Excellent communication skills are necessary.
