Corporate Paralegal Duties: Under general supervision of Director of Corporate Paralegals and according to established policies and procedures, performs a variety of duties with respect to transactions, presentations, business information and client communication projects, maintaining direct daily contact with attorneys and support staff. Observes confidentiality of matters. Work directly with attorneys and clients on all phases of a corporate transaction, including due diligence, negotiating sessions, transaction signings, research, and transaction closings. Assist attorneys with preparation of SEC filings and corporate documents (including incorporation documents, amendments, merger filings, and dissolutions for corporations and limited liability companies). Work with attorneys to conduct antitrust research and complete Hart Scott Rodino filings related to corporate transactions. Proofread transaction documents. Prepare PowerPoint presentations. Firm projects (e.g., maintaining the firm s corporate transaction list and analyzing deal data, assisting attorneys with preparation of materials for speaking engagements and courses, research as requested). Qualifications: College graduate with high GPA from a top college or university. Ability to work independently and as part of a team. Ability to work efficiently in a fast-paced, highly pressured environment and multi-task and prioritize numerous tasks. Excellent organizational skills and attention to detail. Excellent written and interpersonal communication skills. Interest in legal field. Computer skills (MS Office and Adobe Professional) and ability to learn new technology quickly. Professionalism.
