Corporate / Securities Paralegal The candidate will provide support to a team of attorneys. Corporate, limited liability company, and limited partnership formations. Maintenance of entity records, including minute books, and annual renewals. Drafting board/equity holder actions. Maintaining stock ledgers, drafting stock transfer documents, and issuing stock. Administering option plans. State and federal securities compliance, laws filings. Conducting due diligence. Managing transaction data sites. Drafting transactional documents. Managing closings for financings and M&A transactions. Review, prepare, and filing of UCC filings and handle UCC filing search requests in all states. Schedule and coordinate closings. Prepare closing binders. Track and enter hourly billing. Communicate directly with clients, attorneys, personnel, experts, and other legal professionals. Manage deadlines to ensure efficient transaction development and task completion. Provide status updates on transactions and tasks to the team on a regular basis. Handle files from opening to closing. Other essential paralegal and administrative duties. The candidate must have a Paralegal certification, 5 years of law firm experience or 3 years must be capable of managing and prioritizing a heavy deal volume. Must have strong corporate and securities experience in a law firm environment; ability to work collaboratively and/or independently while being proactive in prioritizing multiple projects to meet deadlines; a great attitude, will be a team player, have a proactive work ethic, excellent oral and written communication skills, will be proficient in proof-reading and data entry, detail-oriented and have the ability to work well under pressure. Should have advanced word processing/computer skills utilizing a variety of software programs including, MS Word, Excel, Outlook and PowerPoint, Adobe, and Fileshare. Must possess excellent written and oral communication skills, including grammar, spelling, and punctuation; attention to detail and follow-through skills, should also be highly organized and able to successfully multi-task and meet set deadlines; strong customer service, ability to be flexible and work effectively as part of a team is required.
