Real Estate Paralegal Duties: Participate as a team member and assist attorneys and paralegals in the Real Estate Investments and Transactions practice group. Utilize, create or establish procedures to manage transactions. Coordinate workflow, manage and control execution of closing documents. Track, obtain and organize pre- and post-closing documents to assure performance of obligations. Communicate progress to team as issues arise or items are resolved. Demonstrate elementary understanding of title. Assist in review and comments on title commitments. Assist in arranging title insurance and appropriate endorsements for same. Able to identify title issues and solutions to same. Assist with the formation of corporations, limited liability companies, and limited partnerships. Draft by-laws, articles, certificates, amendments, resolutions, consents, minutes, stock transfers and ledgers for corporations, limited liability companies, limited partnerships and business trusts. Complete and file various forms with the IRS, including Form SS-4 (Application for Employer Identification Number). Work with third party vendors to obtain certified copies of company documents, certificates of good standing and legal existence for transactions or when otherwise requested. Perform public searches of all kinds, including federal and state lien, litigation and bankruptcy searches; prepare charts to report results. Performs other investigative research as requested; prepare UCC financing statements. Prepare and distribute closing binders and other corporate document distributions. Qualifications: Bachelor's degree or an associate degree in paralegal studies who wants a career position. 3+ years experience in residential or commercial real estate. A background with real estate transactions, including title and survey review, is desirable. The position will involve significant contact with lawyers and paralegals at the firm and requires strong interpersonal and communication skills. Must demonstrate the ability to maintain strict confidentiality of the firm internal and personnel affairs. Able to interact effectively with all levels of personnel, including management and support staff. Able to be a proactive self-starter who understands the details within a much larger context. Must be flexible in order to respond quickly and positively to shifting demands and opportunities; able to work under tight deadlines and handle multiple, detailed tasks. Must be team-oriented and able to share information, goals, opportunities, successes and failures with the appropriate parties; able to influence at all levels of the organization. Able to plan, organize and carry out multiple related activities. Able to work in a multi-office environment. Able to work effectively in a culturally and educationally diverse environment. Able to pay attention to details and able to follow up and follow through.
