Corporate and Estate Planning Paralegal The candidate, under general supervision, assists assigned partner with the smooth functioning of his practice. Maintains positive contact with attorneys and staff and observes confidentiality of client and firm matters. Follows the ethical requirements as set forth by the Rules of Professional Conduct of the Commonwealth of Massachusetts. Updates client files and keeps them organized. Gathers information from clients or from others on client's behalf under the direction of an attorney. Maintains corporate minute books, records, stock certificates, stock ledgers, stock options, grants and shareholder address database. Prepares annual report filings, articles of organization, and amendments for corporate entities and limited liability companies. Orders certificate of good standings. Miscellaneous online and in hand filings. Organizes closing documents and prepare binders. Obtains EIN numbers, Tax Compliance Certificates, business certificates and miscellaneous documents. Responsible for the collection of trust income, payment of all trust bills, and preparation of distributions to trust beneficiaries. Oversees daily operations of Client Investment Managers, including deposits, check requests and communication with Relationship Managers. Monitors the performance of Client's Investment Managers and reviews monthly statements for accuracy. Alerts Partners as to need for corrective action where necessary. Maintains records of account performance relative to objective standards. Maintains frequent client contact including telephone calls and correspondence to and from clients and keeping Trustee informed of client's needs. Manages and accounts for payments of insurance premiums on client life insurance policies held in irrevocable trusts, including preparing 'Crummey Notice' letters to beneficiaries. Prepares Form 709, Gift tax returns for individuals. Prepares Form 706, Estate tax returns for estates. Tends to quarterly estimated taxes for trusts. Records billable time daily. Handles special projects or additional responsibilities as assigned from time to time by the attorney. Must have 3-5 years of progressively responsible related work experience necessary in order to gain the expertise needed to manage complex financial, legal and banking relationships in a professional services firm. Knowledge of financial and legal management principles is required. Should have strong computer skills and proficiency with Excel.
