Real Estate Paralegal Responsibilities: Prepare, coordinate and facilitate all aspects of closings with client, title companies and lenders, checklists, calculate critical dates and maintain both as the transaction progresses. Diligence activities (e.g., assist with organization of documents and records, establishing and maintaining virtual data sites for transactions, preparing closing documents and coordinating items for closing and post-closing requirements). Prepare entity formation/modification/merger/conversion/cancellation. Conduct lien and litigation searches nationwide; analyze and summarize results. Review and monitor transactions and checklists to confirm pertinent issues are addressed (e.g., franchise tax issues, doing business issues, timing of filings). Draft ancillary transaction documents, including, but not limited to transaction resolutions, certificates, entity formation, state filings and other governance documents. Prepare and file IRS documents. Distribute draft documents to opposing counsel and clients. Maintain and update corporate records and minute books. Prepare final closing book and draft necessary stock certificates for Mergers and Acquisitions and corporate refinancing/restructuring deals. File and obtain employer and tax identification numbers (EINs). Communicate regularly with attorneys and clients regarding the status of projects and deadlines and informs attorneys of any issues. Requirements: Bachelor's Degree or Paralegal Certificate. Minimum 5-7 years of relevant real estate transactional and finance experience (will consider less experience for otherwise qualified candidate). Superior oral and written communication skills. Strong technical skills (Knowledge of Microsoft Office, iManage, Workshare, and ProLaw). Excellent attention to detail. Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment. A demonstrated commitment to providing superior client service. Must be able to work occasional overtime as needed.
