Corporate Paralegal The candidate will assist with corporate, real estate and banking and transaction work, including: Banking Transactions: creating and filing Uniform Commercial Code (UCC) financing statements and managing possessory collateral, review and assembly of loan documents. Corporate Transactions: Assist with mergers and acquisitions transactions, real property acquisitions and dispositions,, mortgage and other lien related filings, general corporate transactions, including corporate formation, venture capital investments, capital markets transactions, and mergers and acquisitions. Assist with transaction closings and maintenance of closing files for various types of corporate, real estate and banking and finance transactions, including preparation of closing checklists, and compilation of closing sets. Coordinate due diligence activities, including lien, judgment, and IP searches. Review and revision of basic finance, banking, and corporate documents including resolutions and organizational documents. General corporate work including handling corporate formation and organizational matters, stock transfers, board minutes / minute books, dissolutions and other general corporate matters. Create and maintain capitalization records. Preparing and filing of Section 16 notices, securities exemption notices and other securities filings. Prepare memoranda regarding statutory requirements for filing of corporate documents with Departments of State and IRS. Coordinate document retrieval from government agencies and prepare government filings. Preparing and filing a variety of documents, including: deeds, mortgages, memoranda of leases, etc. Conduct detail title, survey and zoning analysis and review of real property tax records and work closely with title companies regarding related title and endorsement matters. Obtaining and reviewing local government codes/ordinances and preparing applications for and obtaining permits. The candidate should have 3+ years of equivalent transactional experience. Must have BS/BA degree or equivalent, Paralegal certificate desirable. Must be familiar with basic corporate documents including resolutions and organizational documents. Should have strong writing and editing skills, with excellent attention to detail. Must be comfortable conducting internet-based research and UCC searches. Should be proficient with Microsoft Word and Excel. Must have strong organizational and verbal and written communication skills.
