Corporate and Real Estate Paralegal The candidate will assist with entity formations, mergers, and dissolutions across the United States, including corporate name registrations. Will maintain entities, including ledgers and preparing resolutions. Track and maintain corporate minute books, board books and stock records. Manage the legal due diligence process, ordering/obtaining and reviewing all title documents, and/or applicable leases. Review title materials and property surveys. Prepare memoranda advising on development or other issues and work directly with the title companies to finalize title policies for transactions. Retrieve documents from state officials for corporate transactions. Maintain a database of all pertinent information related to specific entities. Assist attorneys in preparation for closings and/or attend all hands meeting(s). Prepare closing checklists and coordinate closing process for real estate transactions. Prepare closing indices and binders, and follow up on post-closing matters. Notarize documents as necessary. (firm will assist in becoming a notary, if necessary). Assist with review of contracts and other legal documentation, as requested. Prepare organizational charts and other materials. Draft and/or revise legal real estate agreements, including amendments, subordination non-disturbance, estoppels, legal notices, etc. Work with vendors to order various due diligence certificates and searches. Search, prepare and file UCC financing statements. Complete and file various forms with the IRS i.e., EINs. Conduct research and public searches using general and legal research tools. Complete and file licensing forms for brokers. Assist with other duties as assigned. A four year college degree and/or paralegal certificate is required. Must be able to use Excel, PowerPoint and Word.
