Corporate Paralegal (Entry Level) - Private Investment Funds The candidate will participate as a team member and assist attorneys and paralegals in the corporate group. Work closely with the Private Investment Fund group to assist with the review and completion of subscription documents. Develop a baseline knowledge of rules and regulations pertinent to limited partner subscriptions in private funds. Support other corporate practice areas and assist with special projects as needed. Availability for overtime and flexibility for travel are required. Completes and reviews investor subscription documents, often on an accelerated time schedule, and seeks to ensure accuracy and consistency of responses; and tracks investor subscription documents using spreadsheets and databases. Tracks and maintains corporate minute books and stock record books; maintains and manages database to track location and status of client records and institutional information. Track, calendar and maintain deadline-driven documents. Assists in the drafting of entity governing documents, resolutions, consents, minutes, equity ownership documents, and transfer agreements. Review of KYC documentation, including entity governing documents, tax documents, and personal identity verification documents. Develop knowledge of entity legal structures. Maintains electronic library of supporting documents for investor subscriptions. Drafts closing documents including, but not limited to, closing certificates, partnership and operating agreements and side letters; coordinates legal closing of private investment funds to meet client deadlines. Delivers final documents and closing sets to relevant guidelines in accordance with firm and client-specified protocols. Provides assistance to corporate clients with corporate maintenance/governance, as necessary. Responsible for billing a minimum of 1600 hours of client-related projects and other credited work. Must demonstrate the ability to maintain strict confidentiality of the firm s internal and personnel affairs. Performs other work-related duties as assigned by the managers, supervisors, and coordinators for the corporate paralegal group. Should have a bachelor s degree. A paralegal certificate from an ABA-approved paralegal program is strongly preferred.
