Case Clerk / Paralegal - Corporate The candidate will assist the attorneys, Senior Paralegals and Paralegals in all aspects of corporate work, focusing on the organization and maintenance of documents and transactional information. Specific duties include: Assists attorneys with the organization of documents for corporate transactions; assists in organizing closing documents. Will organizes documents for mailing. Proofread and redlines documents. Maintain corporate form files. Prepare and files Fictitious Business Name Statements with proper government departments. Prepare UCC and other corporate forms. Assist with corporate formations.h. Updates shareholder lists. Monitor stock information. Obtain information from state and local agencies regarding filing requirements. Order fictitious business name and UCC searches. Calendar securities filing due dates and UCC separations. Perform factual research. Maintain and updates investment accounts. Assist with minute book inventory. Draft enclosure letters for recording or filing of original documents. Obtain filing checks and coordinates with Accounting. Verify proper execution of corporate documents, such as checking for signatures, notarization, etc. Develop a greater understanding of corporate work, the attorneys, Senior Paralegals and Paralegals may delegate more advanced tasks, supervising the Case Clerks in projects regarding pre-closing, document preparation, closing, and post-closing activities, as well as other corporate work. Prepare and submit time sheets on a timely basis. Case Clerks are expected to log 1200 client-billable hours per year. Time logged to certain assigned practice development and pro bono matters may be credited towards this billable hour requirement. Case Clerks are required to complete a self-evaluation and a professional development plan each year, using the Professional Development Checklist as a guide. Draft routine memoranda and correspondence. Performs other related duties as assigned. Bachelor s degree is required. Certificate from an ABA approved Paralegal. Training program or equivalent work experience is preferred. Should have 1-2 years of prior legal experience as a Corporate Case Clerk or Paralegal. Demonstrated knowledge of the procedures, terminology and documents relating to corporate matter is needed. Proficiency in the use of Microsoft Office software (Word, Outlook, Excel), and corporate forms system is advantageous. Excellent communication skills, both written and verbal is essential.
