Legal Secretary (Corporate) Duties: Type and edit on the computer system legal and other documents (including correspondence, memoranda, bills, timesheets and project work) from transcription tapes, handwritten or typed materials, or shorthand notes. Manage full and active calendar of appointments and ensure assigned partners/administrators/attorneys are prepared for all commitments. Anticipate and assist in prioritizing conflicting needs and the efficient use of time; handle matters expeditiously and proactively, and follow-through on projects to successful completion, often with tight and conflicting deadlines. Copy, distribute, send (electronically and/or via mail, courier or express service), file and otherwise handle completed work. Proofread and redline work for accuracy of copy, format, grammar, punctuation and syntax. Receive, screen and transmit telephone calls, conference calls and messages to/from attorneys, clients and staff. Handle incoming and outgoing mail. Perform secretarial functions associated with firm administrative tasks, including processing new client/matter requests, client bills, time reports and expense reports. Set up and maintain files. Coordinate conferences, meetings and appointments, often involving participants from inside and outside the firm, in multiple locations and time zones. Coordinate domestic and international travel arrangements travel arrangements, securing air and ground transportation and hotel accommodations. Coordinate work as needed with office, firm and third-party service departments, including Document Services, IT, Office Services, Conference Services, and Finance. Other Essential Duties (Duties are performed periodically, as necessary): Provide secretarial assistance to visitors, summer associates and attorneys whose secretaries are absent. Accept overflow work other secretaries as needed. Requirements: High School Diploma or equivalent. 5+ years of secretarial experience supporting partner level attorneys. Specialized secretarial degree, associate and/or Bachelor's degree desirable. . Ability to read, write and speak English. Ability to type at least 70 words per minute with accuracy. Thorough knowledge of MS Office applications including Word 7 and Outlook. Advanced proficiency in complex travel arrangements. Thorough knowledge of the proper preparation of time records, expense reports, client bills and conflict-checking forms (if applicable to position). Shorthand or fast notes (if applicable to position). Excellent written and oral communication skills, including grammar, spelling and punctuation. Ability to read, comprehend and follow instructions. Thorough familiarity with legal terminology pertinent to general legal concepts and specific area(s) of assignment. Proficiency with advanced telephone functions, including conference calling and voicemail. Excellent telephone manner. Familiarity with legal filing and record-keeping practices. Strong organizational skills. Ability to perform clerical tasks with a high degree of accuracy. Proficiency on office equipment used on a regular basis including computers, printers, copy machines, facsimile machines, telephones and transcription machines. Ability to work independently and as a member of a team, take initiative, set priorities and see projects through completion. Ability to work effectively in a fast-paced environment, meet deadlines, handle multiple tasks, and respond to changing priorities. Ability to establish effective working relationships within the office and firm, and with clients, vendors and others outside the firm. Prepares, maintains and updates database for corporate capitalization records, drafts stock option and restricted stock agreements, effects transfers of stock and prepares stock certificates. Assists with M&A related tasks including the reviews and audits capitalization tables with underlying equity issuances and review/audit board and stockholder actions. Obtains and coordinates the delivery of good-standing certificates from filing agent. Drafts merger sub formation documents. Provides support to IPO/ Public Company lawyers by assisting with the drafting and review of registration statements including but not limited to: Updating capitalization numbers (including outstanding stock and stock options); drafting related party transaction sections; and drafting principal stockholder tables including footnotes. Prepares beneficial ownership spreadsheets and coordinates with underwriters regarding outstanding share numbers. Assembles and compiles exhibits and works with printer to format and finalize documents. Coordinates due diligence production with the Company including but not limited to: Assisting with data room setup and production; performing diligence audits of all stock and option issuances with board actions and stock/option documentation; Preparing necessary board, stockholder and committee actions and/or minutes; assist with distribution of D&O questionnaires and lock-up agreements; Manages Section 16 reporting matters. Assists attorneys with commercial lending transactions including lien searches and preparation/filing of UCC financing statements. Assists with venture capital financings including tracking status of closing documents, gathering corporate due diligence materials, drafting ancillary documents and preparing electronic closing volumes. Retrieves documents from government agencies, private document retrieval companies and internal sources as appropriate. Researches state and federal securities compliance ( Blue Sky ) rules and regulations, drafts and files securities notices. Qualifications: Bachelor s Degree (B.A./B.S.) from an accredited college or university. 1+ year law firm experience. Proficiency in Word and Excel. Preferred: Graduation and certificate from ABA approved Paralegal training program or the equivalent. Bachelor s degree in Business Administration, Accounting or Finance. Experience in the areas of securities and/or general corporate law, M&A and IPOs/Public Company/Capital Markets. Must be able to handle multiple assignments, work well under pressure, and has the flexibility to assist team in meeting client demands on accelerated schedules.
