Corporate Paralegal The candidate's duties include: Entity Formation/ modification/ merger/ conversion/ cancellation - formation of limited liability companies and corporations, including Subchapter's corporations, C corporations and nonprofit corporations. Entity formation includes preparation of single member, limited liability company agreements with SPE provisions. Entity modification includes preparation and filing amendments, merger documents, conversion documents, and cancellation documents, including authorization required for such transaction.
