Senior Corporate Paralegal Responsibilities: Incorporate/qualify corporations, limited liability companies, and partnerships. Prepare, draft and file formation documents related to startups and emerging companies, partnerships and other business entities. Assist with drafting documents necessary at all stages of a corporate transaction, including those related to preferred and debt financings, mergers & acquisitions, corporate dissolution, and company equity plan grants. Prepare and manage company data rooms in connection with corporate transactions. Manage company capitalization tables, stock ledgers, and stock option data. Manage company transactions, including tracking of signatures, organization of transaction documents, and issuance of stock certificates. Respond to client inquiries regarding capitalization, records and other matters as appropriate. Draft and maintain corporate minute books, bylaws and company records, including organization and facilitation of stockholder mailings. Conduct Blue Sky securities compliance research with state jurisdictions and SEC with respect to security issuances and company equity grants. Requirements: Four-year degree or equivalent and 2 recent years of relevant work experience in a professional environment preferred. 5+ years of progressive responsibility in managing corporate transactions in a large law firm or professional services environment. Law firm experience preferred. Proficiency with MS Excel, Carta and Shareworks for equity tracking. Familiarity with UCC financing statements, filing components by jurisdiction, procedures, and lien searches. High level of proficiency with technology including DocuSign, Microsoft Office Suite applications, Adobe Acrobat, and other Corporate records filing and transaction databases, and other internet research tools. Excellent organizational skills, attention to detail, and the ability to multi-task. Highly effective written and oral communications. Creative problem-solving abilities and analytical skills. Work independently, taking initiative to move projects to conclusion. Maintain professional demeanor in stressful situations. Reliable and dependable team player. Maintain confidentiality of client information. High sense of integrity.
