Corporate Paralegal The candidate will work closely with attorneys in the securitization, lending, special workouts, M&A and bankruptcy departments and have opportunities for direct contact with partners and clients. Must be able to effectively work on multiple deals for various attorneys in a fast-paced setting. The day-to-day work will include coordinating the closing of transactions, drafting, filing and researching Uniform Commercial Code (UCC) statements and producing initial drafts of certificates and resolutions. Organizes due diligence materials, working with vendors and counterparties. Drafts and updates closing checklists. Drafts and reviews ancillary documents for various transactions. Prepares initial drafts of UCCs, orders and reviews liens and other searches. Communicates with clients, counterparties, agents and third parties regarding the ongoing transactions. Obtains and organizes signature pages. Coordinates the closing of transactions. Prepares closing sets. Should have excellent document production skills (typing, spelling, grammar and punctuation) as well as strong interpersonal, analytical, research and writing skills. The ability to project professional presence, demonstrate flexibility in work assignments and accept constructive feedback is essential. Must have Knowledge of business and legal practices at a level normally acquired through a Bachelor's degree (formal paralegal training or equivalent job experience is preferable). The candidate who have experience work in a law firm environment and have an interest in attending law school in 2-4 years are also encouraged to apply.
