The San Francisco office of this mid-size firm is engaged primarily in litigation and general business, although the firm boasts a solid regulatory and administrative law practice and a respectable labor/employment practice. The firm has a strong pro bono commitment; associates receive full billable hour credit for approved pro bono work and, overall, pro bono comprises 3-5% of all work. The billable hour target is 1850 and salaries are approximately 20% below market.
Real Estate Paralegal The candidate will provide paralegal support to Affordable Housing Transactional and Regulatory teams to close real estate transactions and process regulatory approvals primarily with the Department of Housing and Urban Development (HUD) but also with U.S. Department of Agriculture (USDA) and other federal and state/local agencies. Manage and review due diligence, filings and internal checklist/closing agenda. Prepare initial drafts of internal checklists/closing agenda, regulatory request packages and related HUD forms, corporate legal documents, including entity formation, authorizing resolutions, secretary and officer certificates, and other ancillary transaction documents. Review title, survey, and title commitments and respond to title and survey comments from counterparties. Review third party property reports including rent comparability studies, environmental reports, and physical needs assessments. Work directly with the title companies to finalize title policies for transactions. Liaise with vendors to order various due diligence certificates, corporate and tax searches and arrange for statutory filings. Use project management tools and techniques to assist with work plans, budgeting and tracking. Use various HUD/USDA databases, guidebooks, notices, and forms. Track transaction tasks and phases and communicate progress to team as issues and/or items are resolved. Prepare documents for closing/signing, including managing, finalizing, and ensuring completeness of sets of exhibits. Prepare signature page packets and coordinate signatures of various deal participants. Prepare closing indices and binders, and follow up on an extensive array of post-closing items. Conduct research and gather information using general and legal research tools. Other responsibilities as client needs dictate. Bachelor's degree is required.
