Sr. Corporate Paralegal The candidate prepares all documents required to form corporations, partnerships, and limited liability companies (both domestic and foreign). Prepare documentation for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and/or limited liability companies. Check availability and reserve entity name. Assist with preparation for and closing of various corporate transactions, including mergers and acquisitions. Prepare consents and manager/officer certificates. Complete and file SS-4 Forms with the IRS to obtain EINs for corporations, partnerships, and/or limited liability companies. Maintain internal electronic corporate binder. Provide administrative support to paralegals and enhance office effectiveness. Create a closing checklist, update the checklist from time to time and circulate it to all parties coordinate with all parties to ensure all items on the checklist are obtained or completed. Review contracts for critical dates, and prepare and maintain a critical dates checklist. Reconcile title commitment and exception documents upon initial receipt; coordinate with the title company for missing, additional documents needed. Coordinate due diligence for a variety of commercial real estate transactions, including acquisitions and dispositions, financings, etc. Obtain recorded original documents and other closing documents. Prepare and distribute closing binders. Prepare routine correspondence transmitting documents to clients/third parties. A high school diploma is required. An associate's or Bachelor's degree or a paralegal certificate is a plus. Must have the ability to identify issues, legal risks, and potential liabilities and report to an attorney. Should have the ability to consistently multi-task and prioritize assignments while delivering consistent, accurate, quality work product. Strong research skills are essential. Understand various states' incorporation rules, corporate filing guidelines, and required documentation for corporate matters, including business formation, dissolution, mergers, and acquisitions. Should have the ability to be very detail-minded and aggressive in the completion of tasks, use initiative and make substantive decisions quickly. Exceptional customer service, organizational, and time management skills are required.
