Corporate Paralegal The candidate will join the firm's M&A team. Prepare drafts of routine documents, such as formations of merger subsidiaries. Handle stock and option administration, including drafting agreements, preparing reports, stock notices/certificates, and maintaining capitalization records in equity management platform. Handle corporate legal research including searching public information on potential counter-parties. Assist with drafts of agreements and correspondence connected to mergers and acquisitions. Manage due diligence and closing matters, including data room set-up and maintenance, preparing signature packets, and creating closing volume. Maintain corporate records and files. Input time entry daily. Must have a Bachelor's Degree or Paralegal Certificate. Should have 2+ years of work experience in corporate practice in a law firm environment. Experience with equity management platforms is preferred. Proficiency with Excel spreadsheets is needed. Working knowledge of corporate and securities laws is necessary. Excellent communication and prioritization skills to manage tasks are essential. Must be detail-oriented, organized, and able to work in a team environment.
