Corporate Paralegal The candidate will draft transactional documents and other correspondence. Prepare state and federal liquor license applications. Prepare applications for Certificates of Label Approval. Draft responses to requests for information related to financial statement audits. Review and analyze documents to discern issues relative to perfection, performance. Manage and/or oversees management of transactional records and other documents. Oversee the retention and organization of transactional records and corporate documents, in conjunction with records management staff. Maintain and update databases. Preparation of documents for entity formation inside and outside the State of Washington, organizational documents and licensing, ongoing corporate maintenance, drafting board minutes, and maintaining minute books and ownership records. Due diligence review and organization. Prepare and deliver closing binders. Assist with Blue Sky filings. Prepare, file and conduct UCC and lien searches, prepare summaries. The candidate should have Knowledge of relevant federal and state law. Should have familiarity with Permits Online and COLAs Online. Should have knowledge of public and privately-held companies, limited liability corporations and partnerships, corporate entities and applicable tax regulations, title issues. Should have proficiency with Microsoft products. Should have strong traditional and online research skills. Should have familiarity with Corporate Focus and Microsoft Access. Should have 3+ years of paralegal experience. Should have Bachelor's Degree preferred or ABA Paralegal certification.
