Senior Corporate Paralegal The candidate will prepare and file formation documents related to startups and emerging companies, merger subsidiaries, and other business entities; prepare and file state qualifications; obtain EINs. Draft and file UCC financing statements, amendments, continuations, and terminations relating primarily to secured transactions, and conduct and analyze the results of lien searches. Support attorney teams in Equity Financing, Capital Markets, Private Equity, and M&A transactions. Excellent organizational skills, proofreading skills, attention to detail, and the ability to multi-task with multiple deal teams and for multiple clients, concurrently. Corporate entity support and ability to manage and support transaction closings. Should have Knowledge of Delaware and California state corporation laws and the ability to research and summarize and make filings related to federal and state securities laws and regulations; ability to take ownership of assigned projects through completion and meet delivery timelines established by the attorney teams; excellent technical and research skills. Should have a qualified paralegal with preferably 7 plus years of experience; will work closely with, and under the direct supervision of a diverse group of attorneys. Bachelor's Degree preferred; ABA-approved Paralegal certificate. Should have experience with SEC filings, Section 16 reports, exchange market and OTC filings, and Capital markets.
