Corporate Paralegal Responsibilities: Prepare and file incorporation and new business formation documents. Form and dissolve companies. Obtain/order certificates of good standing and certified copies. Complete and file forms SS-4 to obtain EINs. Assist with all aspects of deal closings (i.e. signature papers, closing certificates, drafting loca state and federal documents, etc.) Compile and maintain minute books. Prepare stock certificates and resolutions. Prepare and file statutory filings and qualification and withdrawal applications. Order/summarize lien and judgment searches. Handle pre-closing, signature page distribution, and closing files. Prepare and file UCC statements, amendments, and termination statements. Prepare closing checklists; manage post-closing assembly and execution of documents. Other duties as assigned.
Qualifications: Bachelors of Arts degree and paralegal certificate preferred. 1-2 years of related experience providing exceptionally high quality service to clients. Ability to work with vendors. Knowledge of Real Estate and UCC filings. Knowledge of SEC filings and Westlaw and Lexis programs a plus. Excellent communication, organizational, writing, and interpersonal skills. Professional demeanor, ability to prioritize, and strong attention to detail. Proficiency in Microsoft Office suite.
