Corporate Paralegal The candidate will provide responsibilities include: Prepare and file incorporation and new business formation documents. Form and dissolve companies. Obtain/order certificates of good standing and certified copies. Complete and file forms SS-4 to obtain EINs. Assist with all aspects of deal closings (i.e. signature papers, closing certificates, drafting local state and federal documents, etc.). Compile and maintain minute books. Prepare stock certificates and resolutions. Prepare and file statutory filings and qualification and withdrawal applications. Order/summarize lien and judgment searches. Handle pre-closing, signature page distribution, and closing files. Prepare and file UCC statements, amendments, and termination statements. Prepare closing checklists; manage post-closing assembly and execution of documents. Assist 1 or 2 Real Estate attorneys as needed. Other duties as assigned.
The candidate must have bachelors of Arts degree and paralegal certificate preferred. Must have 3+ years of corporate/transactional experience providing exceptionally high quality service to clients. Must have ability to work with vendors. Must have knowledge of Real Estate and UCC filings. Must have knowledge of SEC filings and West law and Lexis programs a plus. Must have excellent communication, organizational, writing, and interpersonal skills. Must have professional demeanor, ability to prioritize, and strong attention to detail. Must have proficiency in Microsoft Office suite.
