This large international New York law firm founded in 1934 has established a full-service presence. Clients include large corporations and individuals as well as small and medium-sized businesses. Paralegal, Corporate Advisory The candidate will be working for a leading international law firm with a diversified business practice representing commercial, industrial and financial enterprises both publicly and privately held. Will provide transactional and regulatory legal support to the attorneys in the Transactions practice group. This position works with clients to retrieve information, assist them with Firm tools and provide assistance with regulatory filings and during corporate transactions. Assist with drafting agreements and related closing documents and binder sets and/or CD s for real estate and corporate transactions. Attend and assist attorneys and clients with transactional closings. Organize closing documents and signature pages and notarize/coordinate with notaries. Assist with review of resolutions, amendments, restatements and related corporate documents in conjunction with borrowing entities. Review title commitments and work with title companies to resolve issues. Survey review experience and work with surveyors to resolve issues. Review of leases, preparation of lease abstracts, memorandum of leases, SNDA s and estoppel certificates. Preparation of deeds and transfer tax forms nationwide. Prepare documents to form new entities (Corporations, LLCs, LLPs, etc.) in any state and file all materials with the applicable the state department(s). Draft corporate filings such as resolutions, formation documents, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches. Perform transactional & regulatory due diligence; create and manage electronic due diligence data rooms. The candidate should have a Bachelor's degree (or equivalent work experience). At least five (5) years of related work experience. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word). Strong written and verbal communication skills. Strong organizational skills. Ability to work under tight deadlines and prioritize responsibilities and multitask across multiple projects. Ability to work flexible and/or fluctuating work hours. Ability to handle and maintain confidential information. Ability to work in a team environment.
