Paralegal (Corporate Practice) Duties: Checks name availability and reserves or registers corporate name. Obtains certificates of good standing/certificates of existence. Prepares and files application for federal employer identification number. Drafts UCC financing statements and subsequent amendments, assignments, or terminations with appropriate state and local agencies. Drafts documents necessary to qualify corporations as foreign corporations in other jurisdictions. Prepares and files articles or certificate of incorporation. Reviews entity organizational documents and drafts certificates certifying same. Prepares bylaws. Prepares amendments to bylaws and drafts resolutions for board of directors and stockholder approval, as necessary. Prepares minutes of meetings of the board of directors and stockholders, or written consents in lieu of meeting. Assembles and maintains corporate minute book (hard copy and electronically). Prepares documents necessary to issue and transfer stock certificates including subscription agreements, receipts, stock certificates, restrictive legends, investment letters, stock and stockholder registers and trust agreements. Prepares notices, proxy materials, ballots, affidavits of mailing and agendas for annual and special meetings of stockholders. Prepares and files annual reports, notices of changes of officers, directors and related corporate information in jurisdiction of incorporation and in foreign jurisdictions in which corporation is qualified to transact business. Prepares and reviews complex transaction binders. Coordinates various aspects of closing, including assembly and preparation of documents for signature, closing arrangements and distribution of closing materials. Requirements: Must have a high level of professionalism and interpersonal skills so as to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence. Required to use tact and diplomacy when dealing with others. Must have ability to read, write and communicate fluent English; ability to compose documents in the appropriate business style using correct grammar and spelling; ability to communicate clearly using proper grammar and diction over the telephone. Must have attention to detail, ability to balance multiple projects and have strong time management skills. Must have ability to reason and apply common-sense understanding to situations encountered. Ability to process routine daily functions while being able to resolve sensitive issues and complex assignments utilizing above average critical thinking skills.
