This large international New York law firm founded in 1934 has established a full-service presence. Clients include large corporations and individuals as well as small and medium-sized businesses. The firm represents a wide range of industrial, financial and commercial enterprises, both publicly and privately held. Firm lawyers represent clients in every state as well as numerous foreign jurisdictions. The firm is organized by legal specialization: corporate, e-commerce, employee benefits, estate planning, government and regulatory affairs, health law, intellectual property, international, litigation and tax. This firm offers competitive salaries and many firm lawyers also practice interdepartmentally distinguishing them from many other large law firms.
Associate (Attorney) - Corporate Advisory Duties: Represent US and Israeli public companies in the technology and life sciences sectors in private placements, public offerings, periodic reporting and other securities filings. Draft SEC forms including Forms 20-F, 10-K 10-Q, 6-K, 8-K, S-1, F-1, S-3, F-3, S-8, while possessing knowledge over various types of the underlying securities, including American Depository Receipts, and their governing documents, including Indentures. Use familiarity with rules and regulations governing dual-listed Israeli companies. Provide advice on corporate governance and private placements involving U.S. and Israeli companies. Manage, advise and coordinate complex securities transactions from both issuer and underwriter side. Requirements: JD Degree or foreign equivalent and 3 years experience with US securities law required. Must be admitted to NYS Bar. Must have 1 year of experience (either as associate or law clerk) representing dual-listed Israeli companies in their SEC filings. Demonstrate an ability to discuss disclosure issues in '33 Act and '34 Act reports with clients and other relevant parties, from both issuer and underwriter side.
