Staff Attorney - Real Estate Duties: Assist in project management of commercial real estate transactions, including managing document checklists and coordinating correspondence among all the parties involved (e.g., escrow agents, title agents, seller, buyer, lender teams, borrower teams, etc.). Perform title and survey review, commercial and RE diligence (including lease, vendor agreements, property management agreements and other RE related contracts). Draft and negotiate purchase and sale documents, loan documents, leases, corporate resolutions, legal opinions, estoppels, SNDAs, operating agreements, construction and architect agreements, property management agreements, escrow instructions, and other closing documents. Assist sophisticated joint ventures with acquisition and financing. Assist in advice to artists, museums and other arts and culture institutions in complex corporate and RE transactions. Assist matter team with land use transactional practice, including California Environmental Quality Act compliance and obtaining entitlements from local planning agencies. Legal research related to specific issues arising in all types of real estate, land use and environmental transactions. Collaborate and assist with formation of various business entities ?necessary to acquire and develop real property. Perform other duties as assigned. Qualifications: JD Degree from a major, accredited law school. Admitted to the CA bar, active and in good standing. Work will primarily be in the office, but on occasion will be at a client office or other alternative work location with flexibility to work long hours. 3+ years of experience in a law firm as an attorney in a RE transactional practice. Ability to communicate professionally and effectively both within and outside of the organization. Works with minimal supervision, initiates communications and engages and coordinates with others whose focused attention is essential to complete projects. Ability to appropriately plan, organize and work effectively to articulate matter (project) goals, objectives, deliverables, costs, and deadlines; identify tasks, resources, and schedule needed to achieve objectives.
