Corporate Paralegal Duties: Perform paralegal duties and responsibilities as directed by group leader and other attorneys in assigned substantive practice group. Provide legal research and services on corporate governance and securities matters, including compliance with federal securities law. Attend board of directors meetings, draft minutes, and maintain minute books Organize and draft various corporate maintenance documentation: Annual assessment and annual report deadlines from the Virginia State Corporation Commission Annual meeting consents for client corporations Certificates of good standing, from Secretaries of State across the U.S. Form/register, amend, dissolve, or merge corporations and limited liability companies with Secretaries of State across the U.S.. Certificates of assumed name and coordinate filings with local jurisdictions and Virginia State Corporation Commission. Maintain minute books. Stock certificates and stock ledgers . Research for various corporate legal requirements. Process for formation, amendment, foreign registration, and dissolution of corporations and limited liability companies with Secretaries of State across the U.S. Prepare summaries of same for attorneys.. Company information and status with Secretaries of State across the U.S. Order UCC, lien, litigation and bankruptcy searches from various jurisdictions across the U.S. Maintain corporate database of corporation and limited liability company information. Draft correspondence and submit various filings for corporate maintenance. Registered Agent changes with Virginia State Corporation Commission. EIN applications with IRS. Correspondence to clients regarding annual Delaware franchise tax payments, including process payment and filing on clients behalf. Proofread EDGAR versions of SEC filings. Correspondence to clients regarding annual report or assessment fee payment deadlines in various states, including process payment and filing on their behalf . Coordinate apostille process for foreign documents with Secretaries of State and foreign consulates for both Hague and non-Hague countries. REQUIREMENTS: Graduation from a four-year college or university with a bachelors degree, and certificate of completion from a paralegal training program, American Bar Association (ABA) approval preferred. 3-5 years' experience as paralegal preferably in corporate. Experience with Boards of Directors a plus. 5+ years of paralegal or other relevant corporate and securities law experience. Ability to balance multiple tasks and effectively prioritize workload in a fast-paced environment. High level of diplomacy and tact, ensuring confidentiality of information. Excellent written and verbal communication skills. Self-motivated, determined, and able to work under own initiative. Excellent organizational skills and attention to detail. Strong computer skills, including Microsoft Word, Excel, and PowerPoint as well as secure board portals. Demonstrates collaborative style with excellent interpersonal skills.
