Paralegal (Corporate/Hotels & Leisure) The candidate will assist with review, draft and negotiation of letters of intent, purchase and sale agreements, hotel management, license and franchise agreements, joint ventures and other documents as necessary. Assist with review and draft initial forms of indentures of trust, loan agreements, bond purchase agreements, bonds, IRS Forms, official statements, UCC financing statements, related closing certificates and other due diligence materials and papers. Coordination of the closing of successful real estate transactions including acquisitions, dispositions and financings, debt and equity transactions and coordinate execution of all documents, deliverables, confirming contents of appropriate closing checklists and recordation for closing. Preparation of real estate loan, purchase, sale, loan servicing and ancillary related documents including purchase and sale agreements, conveyance documents, easements, security instruments, notes, guaranties and general agreements. Perform due diligence including review of title commitments, surveys and underlying title documents and entity documents. File UCC financing statements and record real estate and other documents with Courts or other governmental entities or organizations. Conduct general research and handle matters relevant to clients, with an expertise in corporate formation (for profit, non-profit, limited liability), non-profit solicitations and fund-raising and political activities. Research economic and demographic information for incorporation in official statements and summarize general financial information and tax information related to local governmental entities and corporations. Work on special assignments that may require conducting routine fact or legal research, preparing reports and handling associated filings. Other duties as may be assigned to fully meet the requirements, billable and performance based, of the position. Bachelor's or Associates Degree or Paralegal Certificate and equivalent experience. Minimum of 5 years of real estate and/or corporate experience required, preferably in a law firm setting. Large and sophisticated deal and transaction experience is preferred. Hotels experience is a plus, but not required. Desire to work in a legal environment. Must have superior communication skills and be able to work in a team environment. Must have the ability to meet deadlines and work well under pressure. Must have the ability to interact and work productively with all levels of firm staff. Strong verbal, written, analytical, organizational and interpersonal skills. Strong computer technical skills and demonstrated ability to learn new software. Ability to provide direction and training to junior team members. Ability to maintain discretion and privacy with confidential matters and documents. Ability to recognize and comprehend facts and legal concepts. Ability to meet minimum billable hourly requirement. Proficiency in Microsoft Office Suite, PDF creation tool(s), document management software, Elite or other timekeeping software, Internet required. Excellent client service, ability to work overtime and travel as needed.
