Corporate/Commercial Transactions and Real Estate Paralegal Duties: Assist attorneys on corporate transactional, securities, commercial financing and real estate matters. Conduct review of titles/surveys/exception documents. Prepare and file a variety of documents, including certificates of incorporation/formation, merger and dissolution and other corporate filings, corporate resolutions, and UCC financing statements. Coordinate due diligence for a variety of transactions, including mergers, acquisitions and dispositions, financings, etc. Review and summarize UCC, judgment, tax and other lien searches. Prepare and organize documents for and assist in closing transactions. Prepare closing checklists and coordinate the closing process for various corporate and commercial real estate transactions. Prepare and distribute closing binders. Draft and edit documents, focusing on accuracy in grammar, references and adherence to corporate policies. Serve as the point of contact with attorneys, clients and other transactional parties.
Qualifications: College degree preferred. 1+ year experience in corporate/commercial transactions and/or commercial real estate. Solid organizational skills; excellent communication skills (verbal and written); acute attention to detail; high motivation; a strong work ethic; the ability to work independently, prioritize and multi-task; and the desire and ability to learn in a fast-paced environment.
