Corporate and Real Estate Transactional Paralegal The candidate will be assisting in the preparation of legal documents related to commercial real estate and corporate transactions, including purchase and sale agreements, leases, financing documents, legal opinions, escrow, and closing letters, subscription agreement and private placement memorandums, entity organizational documents, organizational consents, bylaws, operating agreement, partnership agreement, EIN creation, and state registrations. Monitoring and reviewing transactional documents for the purpose of preparing and updating the closing checklist to track the status of transactional documents and the progression of the transaction. Managing electronic document files for organizing and storing due diligence materials for review and collaboration with all parties of the transaction. Preparing due diligence request lists; guiding and working with clients for the collection of due diligence information and materials; analyzing due diligence materials, including title reports, to assist attorneys with determining compliance with transaction documents. Coordinating delivery and collection of signature pages from clients as well as the delivery of such to all parties. Working on post-closing matters such as the transfer of permits and licenses, preparing and organizing closing documents and binders for distribution to all parties. Recording real estate documents and searching real property records to determine property ownership, easements, and liens. Should have 3 years of transactional experience in a law firm environment. Experience with commercial real estate and asset-based transaction documentation, procedures, and closings is a plus. Certificate of completion from an ABA-approved paralegal certification program of education and training or an associate degree in paralegal studies preferred. Should have exceptional organizational skills and work according to priorities; detail-oriented with a strong work ethic and ability to multi-task (will be supporting several timekeepers); proficient in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint, etc.). Familiarity with Dropbox, Calendly, Zoom/Zoom Phone, DocuSign, Simplifile, and Clio is a plus. Excellent verbal and written communication skills are required.
